How CasinosBroker Runs a Sell-Side Mandate, From Valuation to Completion

CasinosBroker.com represents owners selling iGaming businesses: online casinos, sportsbooks, affiliate sites and portfolios, and B2B gaming technology. The firm has taken more than 110 mandates and closed 52 transactions since 2021. This is how a typical sell-side mandate runs.

Stage 1: Intake and triage

The owner completes a detailed questionnaire covering the business model, ownership, licence, traffic sources, SEO history, marketing, payment processors, staff, revenue and costs. CasinosBroker uses it to produce a structured triage: what is known, what is missing, red flags, and whether the asset is ready to be marketed.

Stage 2: Valuation

Revenue and profit are reconciled against source data – platform back-office reports for operators, programme dashboards for affiliates – and normalised. The valuation is then presented as a low, mid and high range, with the method, the inputs and the reasons for the multiple written out. The owner sees which factors are holding the price back and which can be fixed before launch.

Stage 3: Mandate agreement

The broker agreement sets out the scope of work, the commission, which is payable when a sale completes, the duration and the confidentiality terms. Mandates can be exclusive or non-exclusive; the two carry different terms and suit different situations.

Stage 4: Marketing materials

Stage 5: Buyer outreach

The teaser is shared with relevant buyers from a network of more than 1,000 qualified iGaming acquirers. Matching is selective: an affiliate portfolio, a Curaçao-licensed casino and a slot studio each have different natural buyers. Interested parties sign an NDA before receiving the CIM.

Stage 6: Offers and LOI

Offers are compared on more than headline price: how much is paid at completion, what is deferred or contingent, the due diligence timetable, exclusivity and transition requirements. CasinosBroker models each offer so the seller can see the likely cash received and when.

Stage 7: Due diligence

The buyer reviews the data room and verifies revenue, traffic, licence, payments and contracts. Because the figures were reconciled at Stage 2, surprises at this stage are less likely – which is where many deals that were not prepared properly lose value.

Stage 8: Escrow and handover

CasinosBroker coordinates escrow so funds are released against agreed handover steps: domain transfers, account migrations, data delivery and any regulator approvals. The seller then provides the agreed transition support.

Timing

The median time from signed mandate to completion is 90 days. The fastest transaction closed in 13 days. Deals that require regulator approval for a change of control take longer.
